1. Overview

This website is operated by JRW Holdings, LLC dba Bona Voluntate (“we”, “us”, “our”, or “Bona Voluntate”). This website is operated on WordPress using the WooCommerce platform, which provides the online commerce software through which we present and sell our products.

These Terms of Service (“Terms”) govern your access to and use of this website and any purchase you make from us. By accessing or using any part of the site, or by placing an order, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access the site or use any of our services.

We may update, change, or replace any part of these Terms at any time, in our sole discretion, by posting the revised Terms on this page. It is your responsibility to review this page periodically. Your continued use of or access to the site following the posting of any changes constitutes acceptance of those changes.

2. Business-to-Business Only / Eligibility

Bona Voluntate sells exclusively on a wholesale, business-to-business basis to qualified, licensed businesses. We do NOT sell to consumers. By using this site or placing an order, you represent and warrant that you are at least 21 years of age, that you are acting on behalf of a business, and that you are duly authorized to transact and to bind that business to these Terms.

Our products are supplied as raw materials and ingredients intended for further manufacturing, formulation, or resale by qualified businesses. They are not offered or sold for direct consumer use as supplied. You are solely responsible for any further processing, formulation, labeling, and the lawful sale of any finished goods you produce.

3. Products, Hemp & Compliance

Our products are hemp-derived and are produced to comply with the Agriculture Improvement Act of 2018 (the “2018 Farm Bill”), containing no more than 0.3% Delta-9 THC on a dry-weight basis. Hemp laws and regulations vary by jurisdiction and change frequently. You are solely responsible for determining the legality of any product in your local, state, and national jurisdiction, and for the testing, formulation, labeling, marketing, and lawful sale of any finished goods you produce.

Certificates of Analysis (COAs) are provided for reference only and are subject to standard analytical variance. We will not be liable for minor deviations in lab results. Any retest must be performed by a reputable laboratory using properly calibrated equipment and recognized reference standards from a reputable source. By purchasing, you acknowledge and accept these limitations.

4. Orders, Pricing & Acceptance

We reserve the right to refuse, limit, or cancel any order at our sole discretion, including after an order has been submitted. Prices for our products and product availability are subject to change without notice. We may limit the quantities of any products we offer, and we may decline or cancel orders that, in our sole judgment, appear to be intended for resale to consumers or that otherwise violate these Terms.

You agree to provide current, complete, and accurate purchase and account information for all purchases made with us, and to promptly update that information so that we can complete your transactions and contact you as needed.

5. Shipping, Customs, Title & Risk of Loss

SHIPPING CONCERNS, QUESTIONS, UPDATES, OR PROBLEMS — PLEASE FOLLOW THE PROCESS BELOW:

Bona Voluntate utilizes a third-party logistics provider (3PL), Unishippers, to conduct business with UPS. They help with costs and logistical issues to ensure a better experience.

The Subject of your email MUST include your tracking number(s).

If you do not CC us, they will not assist. We must authorize them to share information with you.

They are able to contact UPS more quickly and find missing documents, resolve issues, locate lost packages, open investigations, and more — essentially streamlining any and all issues and helping to mitigate further problems.

TITLE AND RISK OF LOSS: Title and all risk of loss pass to the buyer/consignee upon tender of the products to the carrier. ALL PRODUCT IS SHIPPED AT THE CONSIGNEE’S (CUSTOMER’S) RISK. THE CONSIGNEE MUST UNDERSTAND THE LEGALITY OF THE PRODUCTS IN THEIR LOCAL, STATE, AND NATIONAL JURISDICTION.

LIABILITY DISCLAIMER: JRW Holdings, LLC dba Bona Voluntate is not liable for additional shipping costs, taxes, duties, punitive or incidental damages, insurance costs or denied claims, lost packages, seized packages, or regulatory changes. JRW Holdings, LLC is only responsible for shipping products and is not to be held liable for errors or omissions.

Any returns or reshipments will be charged for shipping.

Insurance is available but must be requested. JRW Holdings, LLC utilizes Parcel Guard via ShipStation. Cost is $1.39 per $100 of declared value. 6. Disclaimer of Warranties

THE WEBSITE, THE SERVICES, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

These statements and products have not been evaluated by the Food and Drug Administration (FDA). The products are not intended to diagnose, treat, cure, or prevent any disease.

7. Assumption of Risk

The buyer assumes all risk associated with the purchase, handling, storage, further processing, resale, and use of the products. The buyer is solely responsible for compliance with all applicable laws and for the safety, quality, labeling, and lawful sale of any finished goods it produces from or incorporating the products.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JRW HOLDINGS, LLC AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, OR REPLACEMENT COSTS) ARISING FROM OR RELATED TO THE PRODUCTS OR THE USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE BUYER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. Because some states or jurisdictions do not allow certain exclusions or limitations of liability, in such jurisdictions our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless JRW Holdings, LLC and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any claim, demand, loss, liability, or expense, including reasonable attorneys’ fees, arising from or related to your breach of these Terms, your violation of any law or the rights of a third party, your handling, processing, or resale of the products, or the finished goods you produce.

10. Compliance with Laws & Prohibited Uses

You agree to comply with all applicable federal, state, local, and international laws, regulations, rules, and ordinances. You may not use the site or the products for any unlawful or unauthorized purpose, nor to solicit others to perform or participate in any unlawful acts, nor to interfere with or circumvent the security features of the site. A breach or violation of any of these Terms may result in the immediate termination of your access and services.

11. Third-Party Links & Tools

The site may provide access to third-party tools, content, products, links, and services over which we have no control. Such tools and materials are provided “as is” and “as available” without any warranties, representations, or endorsement. We are not responsible for examining or evaluating, and we will not be liable for, any third-party sites, materials, products, or services. Any use is at your own risk and discretion, and you should review the applicable third party’s terms before engaging in any transaction.

12. Intellectual Property

All content on this site, including text, graphics, logos, images, and software, is owned by or licensed to JRW Holdings, LLC and is protected by applicable intellectual property laws. You may not reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the site or its content without our express prior written permission.

13. Modifications & Termination

We reserve the right at any time to modify or discontinue the site or services (or any part or content thereof) without notice. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by ceasing to use the site. If, in our sole judgment, you fail or we suspect that you have failed to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination, and/or we may deny you access to our services.

14. Severability & Entire Agreement

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions. These Terms, together with any policies posted by us on this site, constitute the entire agreement and understanding between you and us, and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written.

15. Governing Law

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the United States and the State in which JRW Holdings, LLC is organized, without regard to its conflict-of-laws principles.
